USER CONDUCT AND PROTECTION POLICY

  1. Purpose

The User Conduct and Protection Policy (the “UCAPP”) has been established by METAMORPHOSIS BUSINESS SOLUTIONS LIMITED (hereinafter called "Skillpik") to ensure a positive and secure experience for all users of the platform, which is designed to simplify the recruitment process for its customers by providing them with a centralised location to manage and screen job applicants. By using the platform, all users agree to adhere to the guidelines outlined in this policy. The purpose of this policy is to ensure the safe, fair, and ethical use of the platform by all parties involved while also protecting the privacy and security of all users. It sets out the guidelines for appropriate conduct, the protection of personal data, and the enforcement of rules that aim to promote a positive user experience for everyone using the platform.

This policy is designed to achieve the following goals:

  • To promote transparency and fairness in the recruitment process by allowing customers to easily screen and shortlist job applicants using filters on the platform.
  • To provide jobseekers with a safe and secure platform to apply for job opportunities and have their personal information protected.
  • To maintain the integrity of the platform by preventing any form of fraud, misuse, or abuse by users.
  • To ensure that the platform remains a positive and respectful environment for all users by enforcing clear and fair rules of conduct.

We are committed to providing a safe and secure environment for all users. We appreciate your cooperation in helping us achieve this goal.

 

  1. Scope

This UCAPP applies to all individuals and entities who use our platform, including jobseekers who create an account to apply for jobs and customers who use the platform to manage job opportunities. It also applies to anyone who visits our website or browses it, whether or not they subscribe to the site, register with the site, or create an account. 

The scope of the UCAPP covers all aspects of the platform, including but not limited to:

  • User Accounts: The creation and maintenance of user accounts, including the submission of personal information required to use the platform.
  • Communication: All forms of communication within the platform.
  • Content: All content and information that is shared or posted on the platform, including resumes, cover letters, job applications, and other materials.
  • Interactions: All interactions between users on the platform, including but not limited to: communication between jobseekers and customers, and interactions with the platform's filters and shortlisting tool.

The UCAPP provides general guidelines for protecting the privacy and security of all users. For more detailed information about the collection, use, and storage of personal information, please refer to Skillpik’s Privacy Policy. 

 

  1. User Responsibility

All users conducting transactions through our platform are subject to our Terms & Conditions. It is strongly advised that users take the time to thoroughly review and understand these Terms & Conditions before conducting any transactions through our website.

 

  1. Account Creation and Maintenance

It is important for users to create and maintain their accounts responsibly to ensure a positive experience for all users on the platform. Skillpik reserves the right to take necessary actions, including termination of accounts, to ensure compliance with the UCAPP and the overall integrity of the platform.

  • Eligibility: To create an account on the platform, you must either be a jobseeker seeking employment or a customer looking to streamline the recruitment process. You must also be at least 18 years of age or older to use the platform.
  • Verification of Information: Upon creating an account, you will be required to provide accurate and up-to-date information, including but not limited to your name, email address, and any other information deemed necessary to create an account. Providing false information is strictly prohibited and may result in account suspension or termination.
  • Account Responsibility: You are solely responsible for maintaining the confidentiality of your account information, including your password. You must immediately notify Skillpik of any unauthorised use of your account or password. Skillpik will not be liable for any loss or damage arising from your failure to comply with this provision.
  • Multiple Accounts: Each user is only allowed to create one account on the platform. Creating multiple accounts with the intent to evade suspension or otherwise manipulate the platform is strictly prohibited and may result in the suspension or termination of all related accounts.
  • Maintenance of Account Information: You must maintain accurate and up-to-date information in your account. Skillpik reserves the right to terminate your account if it becomes aware of false or misleading information.
  • Account Termination: Skillpik reserves the right to terminate your account at any time and without notice, for any reason, including but not limited to breach of the UCAPP, non-compliance with the Terms & Conditions, or any other reason deemed necessary by Skillpik. Upon termination, you will no longer be able to access the platform or use the services offered.
  • Reinstatement of Terminated Accounts: Requests for reinstatement of terminated accounts will only be considered under exceptional circumstances and at the sole discretion of Skillpik.

 

  1. User Behaviour

All users of our platform are expected to abide by the following standards of acceptable behaviour to maintain a safe and respectful environment for all users. 

  • Users must comply with all applicable laws, regulations and industry standards.
  • Users must not engage in any form of harassment, bullying or discrimination, either on the platform or in interactions with other users.
  • Users must not post, upload, or share any content that is defamatory, obscene, harmful, violent, threatening, or otherwise offensive.
  • Users must not post, upload, or share any content that infringes on the intellectual property rights of others.
  • Users must not post, upload, or share any confidential or proprietary information.
  • Users must not engage in any unauthorised commercial activities, such as advertising, marketing or sales, on the platform.
  • Users must not use the platform for any illegal or unauthorised purposes, including but not limited to hacking, phishing or distributing malware.

Skillpik reserves the right to remove any content that violates this policy, and to take any other appropriate action, including but not limited to the termination of the user’s account. Additionally, Skillpik may cooperate with law enforcement authorities in the investigation and prosecution of illegal activities. By using the platform, users acknowledge and agree to abide by these standards of acceptable behaviour and to use the platform in a responsible and lawful manner.

 

  1. Prohibited Content

In order to ensure a safe and respectful environment for all users, the following types of content are strictly prohibited on the Skillpik platform:

  • Illegal or Fraudulent Activities: Any content or actions that violate the law or promote illegal activities, including but not limited to theft, fraud, or the sale of illegal or controlled substances.
  • Harassment and Bullying: Any content or behaviour that is intended to harass, intimidate, or harm another user, including but not limited to hate speech, racist or sexist remarks, or repeated unwanted communication.
  • Pornographic or Offensive Material: Any content or media that is pornographic, sexually explicit, or otherwise offensive or inappropriate. This includes, but is not limited to, images, videos, or text that depict or promote violence, abuse, or explicit sexual activity.
  • Spam or Unsolicited Communication: Any content or behaviour that is intended to spam or harass other users, including but not limited to sending unsolicited messages, comments, or any type of similar requests.
  • Personal Information: Sharing personal information of others, including but not limited to full names, addresses, phone numbers, email addresses, and financial information, without the explicit consent of the individual.
  • Misrepresentation: Misrepresenting their identity, qualifications, or experience in order to deceive or mislead others.
  • Discrimination: Any content or behaviour that discriminates against a person based on gender, race, age, religion, sexual preference, or otherwise.
  • Copyright Infringement: Any content or media that infringes upon the copyright or intellectual property rights of others. This includes, but is not limited to, the unauthorised use of images, text, or video.

Any user found to be in violation of these prohibited content guidelines may face consequences including, but not limited to, account warnings, suspension, or termination. Skillpik reserves the right to remove any content or behaviour that it deems to be in violation of these guidelines at its sole discretion.

 

  1. Prohibited Use

The following actions are considered to be in violation of the UCAPP and may result in the termination of a user's account, removal of content, or legal action:

  • Illegality: Any illegal activity, including but not limited to, the promotion of illegal drugs, human trafficking, or the distribution of illegal software or content.
  • Hateful Conduct: To promote, support, or glorify hate speech, hate symbols, or hate crimes, or to engage in any form of harassment or bullying based on race, gender, religion, sexual orientation, or any other personal characteristic.
  • Threats and Violence: To threaten, intimidate, or engage in any violent behaviour, including but not limited to, making violent threats, inciting others to engage in violent acts, or threatening the physical safety of any individual.
  • Spam and Malicious Content: To send spam, malicious content, or unsolicited messages, or to engage in phishing, fraud, or other malicious activities.
  • Infringement of Intellectual Property Rights: To infringe upon the intellectual property rights of others, including but not limited to, the unauthorised use of trademarks, copyrights, patents, or trade secrets.
  • Pornography and Nudity: To distribute or display sexually explicit or graphic content, including but not limited to, nudity, pornography, or sexual acts.
  • Misrepresentation: To impersonate others, provide false information, or engage in any other deceptive or fraudulent behaviour.
  • Unauthorised Access: To access or attempt to access any restricted or private areas of the platform or any other user's account, without permission.
  • Overloading or Crashing the System: To engage in any activity that may overload, crash, or harm the platform's system, including but not limited to, conducting a denial-of-service attack, or using excessive bandwidth.
  • Tampering with Data: To modify, manipulate, or delete any data or information stored on the platform, or to interfere with any data transfer or communication.

Any user who engages in any prohibited use is subject to immediate termination of their account, removal of their content, and may be subject to legal action. Skillpik reserves the right to modify or amend this list of prohibited uses at any time without notice.

 

  1. Violations

To maintain a safe and secure environment for all users of our platform, it is important that all users comply with the UCAPP. In the event of a violation, we reserve the right to take appropriate action, which may include, but is not limited to, the following:

  • Warning: A written or verbal warning will be issued to the user, advising them of the violation and the corrective action that must be taken to rectify the issue.
  • Suspension: The user's account may be temporarily suspended, temporarily disabling their access to the platform and its features.
  • Termination: In severe cases, the user's account may be permanently terminated, permanently disabling their access to the platform and its features.
  • Legal action: In cases where the violation involves illegal activity or harm to others, we may refer the matter to law enforcement authorities for further investigation and potential legal action.
  • Reporting to Customers: In cases where the violation involves jobseekers applying for job opportunities on the platform, the customer who posted the job opportunity may be informed of the violation.

 

  1. Reporting Violations

To maintain a safe and secure environment for all users of our platform, it is imperative that any violations of this policy be reported immediately. If a user suspects or becomes aware of any violations, they should report the issue to our support team through the designated reporting channels by sending an email to operations@skillpik.com.

The following types of violations should be reported:

  • Any prohibited content as outlined in the "Prohibited Content" section
  • Any suspected or actual unauthorised access to user data or any breach of privacy
  • Any abusive, harassing, or threatening behaviour towards other users
  • Any violation of any applicable laws or regulations

In the event of a report, our support team will review the issue and take appropriate action, which may include, but is not limited to, issuing warnings, suspending or removing the violating user's account, and/or referring the matter to law enforcement authorities.

It is important to note that false reporting is strictly prohibited and may result in disciplinary action, including the suspension or removal of the reporting user's account.

 

  1. User Generated Content

Skillpik values the privacy and security of all users and expects all User Generated Content ("UGC") to be respectful, professional, and in accordance with applicable laws and regulations. The platform allows jobseekers to submit their personal information and application materials, such as their resumes and cover letters, in order to apply for job opportunities. The platform also enables customers to provide job postings and other related information. All of this information is considered UGC. UGC refers to any content that is created and uploaded to the platform by its users, rather than by Skillpik or its platform. 

To ensure a safe and respectful environment, the following guidelines must be followed when submitting UGC:

  • Accuracy: It must be accurate, current, and complete. Providing false or misleading information is strictly prohibited.
  • Confidentiality: If it contains confidential or proprietary information, it must be kept confidential. Jobseekers must not include confidential information belonging to previous employers in their application materials, and customers must not include confidential information in their job postings.
  • Respect: It must be respectful and professional, and must not contain any harmful, threatening, abusive, defamatory, obscene, or otherwise inappropriate content.
  • Intellectual Property: It must not infringe on the intellectual property rights of others, including but not limited to patents, trademarks, copyrights, or trade secrets.
  • Personal Information: It must comply with applicable privacy laws, including but not limited to those related to the protection of personal information.
  • Discrimination: It must not discriminate against any individuals or groups based on race, gender, sexual orientation, age, religion, national origin, or any other personalcharacteristic.
  • Solicitation: It must not solicit or promote illegal activities or products, including but not limited to drugs, firearms, or other prohibited items.
  • Spam: It must not contain spam or unsolicited commercial communications.
  • Virus or Malware: It must not contain any viruses, malware, or other harmful software or code.

Skillpik reserves the right to remove any UGC that violates these guidelines. Skillpik also reserves the right to terminate the accounts of users who violate these guidelines or engage in any other prohibited activities. By submitting UGC to the platform, jobseekers and customers agree to these guidelines and to allow Skillpik to use and display their UGC in accordance with Skillpik's Privacy Policy.

Skillpik does not check user uploaded and created content for appropriateness, violations of copyright, trademarks, other rights or violations, and the user uploading or creating such content shall be solely responsible for such content and the consequences of using, disclosing, storing or transmitting it on the platform. By uploading to, or creating content on, the platform, a user represents and warrants that they own or have obtained all rights, licences, consents, permissions, power and/or authority necessary to use and/or upload such content and that such content or its use does not and shall not:

  • Infringe or violate any intellectual property, proprietary or privacy, data protection or publicity rights of any third party.
  • Violate any applicable laws of the jurisdiction the platform operates in or any other relevant jurisdiction.

 

  1. Confidential Information

For the purpose of the UCAPP, "Confidential Information" refers to any proprietary or sensitive information disclosed by either Skillpik or the customer to the other party, either directly or indirectly, in writing or orally, and which is designated as confidential or would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.

  • The receiving party shall not disclose, publish, or otherwise disseminate the Confidential Information to any third party, and shall protect and preserve the confidentiality of the Confidential Information with the same degree of care as it uses to protect its own confidential information, but in no event with less than a reasonable degree of care. This shall not apply to information that the recipient can document:

(a) Was rightfully in its possession or known to it prior to receipt of the Confidential Information;

(b) Is or has become public through no fault of the recipient; 

(c) Was received through legitimate means other than from the disclosing party or disclosing party’s representatives; or 

(d) Was independently developed by the recipient through its employees who had no direct contact with Confidential Information.

  • The recipient shall have no obligation under this section with respect to information that is:

(a) Publicly known at the time of disclosure or subsequently becomes publicly known through no fault of the recipient; 

(b) Discovered or created by the recipient before disclosure by the disclosing party; 

(c) Learned through legitimate means other than from the disclosing party or disclosing party’s representatives; or 

(d) Disclosed with the disclosing party's prior written approval.

  • The recipient may disclose Confidential Information if required by court order, law or government regulation, provided that the disclosing party is promptly notified of such requirement prior to such disclosure and assistance is given to the disclosing party, at the disclosing party's expense, in attempting to secure confidential treatment for such Confidential Information.
  • Upon the disclosing party's request, the recipient shall promptly return all Confidential Information in its possession and shall certify in writing to the disclosing party that it has fully complied with its obligations under this Agreement.

 

  1. Modification of Policy

Skillpik reserves the right to modify this policy at any time, without prior notice to users. The latest version of the policy will always be available on our platform and users are responsible for periodically checking for updates.

In the event of a material change to the policy, we will make a reasonable effort to provide notice to users, such as through a notification on the platform or by email. The form of such notice will be determined at our discretion.

Users are deemed to have accepted any modification to the policy if they continue to use our platform after the changes have been posted. If a user does not agree to the changes, they must stop using the platform and terminate their account.

It is the user's responsibility to regularly review the policy and be aware of any changes that may affect their use of the platform.

These Terms and Conditions (the "Terms") apply to all interactions and transactions between you, as a jobseeker, and our website. This includes, but is not limited to, browsing job postings, submitting job applications, using our chat feature to communicate with potential employers, and any other actions taken on our website in relation to your job search process.

By accessing or using our website, you confirm that you have read, understood, and agree to be bound by these Terms, which together with our Privacy Policy govern our relationship with you. “Confidential Information” refers to any non-public information shared by us or by you, which is marked as confidential or would reasonably be considered as such.

“Copyright” refers to the exclusive legal right to reproduce, distribute, and display creative works, as protected by copyright laws.

“Force Majeure” refers to an event or circumstance that is beyond the control of the parties and prevents the performance of their obligations under these Terms.

“Job Application” refers to the jobseeker's submission of their personal information, résumé, and cover letter in response to a job listing posted by a recruiter on the Skillpik platform.

 “Job Opportunities” refer to the potential employment positions that are currently available or may become available in the future, including both full-time or part-time positions, and temporary or permanent positions.

“Jobseeker” refers to any individual who uses our website to browse job postings, submit job applications, or otherwise engage in the job search process.

“Parties” refers to Skillpik and the jobseeker using the platform.

“Recruiter” refers to any individual or organisation that posts job opportunities on our website with the intention of finding suitable candidates.

“Service” refers to the various services provided by Skillpik through our website, including but not limited to job search and application tools, communication features, and related support services.

“Trademark” refers to any logos, names, symbols, or other branding elements used by us to identify our products and services.

“Website” refers to the website and platform provided and operated by Skillpik, including all pages, content, and services, located at https://www.skillpik.com/

“You” or “Your” refers to the jobseeker who is accessing or using the Skillpik website and services.

The Service is exclusively available to registered users who have created a profile on our website. Jobseeker Obligations

By using the platform and submitting your application, you agree to the following obligations:

  • Compliance with Policies: You agree to comply with all policies and guidelines of the platform, including those related to job postings, job applications, and candidate profiles. You acknowledge that failure to comply with these policies may result in your application being rejected, or your account being suspended or terminated.
  • Accurate Information: You agree to provide accurate, complete, and up-to-date information in your job application, including your personal information, work experience, education, and skills. You acknowledge that any false or misleading information may result in your application being rejected, or your account being suspended or terminated.

 

  • Professional Conduct: You agree to conduct yourself in a professional and respectful manner when communicating with potential employers or other users of the platform. You acknowledge that any inappropriate behaviour or language may result in your application being rejected, or your account being suspended or terminated.
  • Confidentiality: You agree to keep confidential any information received from potential employers or other users of the platform, including but not limited to trade secrets, proprietary information, and personal information. You acknowledge that any breach of confidentiality may result in legal action being taken against you.
  • No Guarantee of Employment: You acknowledge that using the platform and submitting your job application does not guarantee employment or an offer of employment from any potential employer. You understand that the platform only serves as a medium to connect you with potential employers, and that the final decision to hire you rests solely with the potential employer.
  • Responsibility for Decisions: You acknowledge that you are solely responsible for making decisions regarding your job applications and potential employment. You understand that the platform is not responsible for any consequences resulting from your decisions, including but not limited to job offers, compensation, work conditions, and job performance.

 

Changes to the Services

Skillpik reserves the right to make changes to the service and these Terms. Skillpik will notify you of any changes through the service account or by email. You are responsible for regularly reviewing the Terms for any updates. If you continue to use the service after changes have been made, it will be considered acceptance of the new Terms.

 

Term of Services

These Terms will apply for as long as you use our service to search for job opportunities, and will continue to be in effect as long as you maintain an active account on our platform.

 

Payment Terms

As a valued jobseeker on Skillpik's platform, it is important to understand our payment terms. Skillpik does not charge jobseekers for creating an account, browsing job listings, or applying to jobs. However, please note that some recruiters may require candidates to pay for background checks, drug tests, or other assessments as a condition of employment. Skillpik is not responsible for any fees or charges imposed by potential employers.

If there are any changes to Skillpik's payment terms or fees, we will inform you in advance via email or other written notice. You will have the option to accept the new terms or terminate your use of our platform and services. Please note that any fees or charges associated with the use of our platform and services are non-refundable.

 

Termination of Services

Skillpik reserves the right to terminate or suspend your account at any time, without notice or liability, if it is determined that you have violated these Terms, any applicable laws or regulations, or engaged in any illegal or fraudulent activity. This includes but not limited to, a material breach of these Terms such as providing false information on your profile.

You have the option to terminate your account at any time by reaching out to customer support. Upon termination, all of your personal data will be permanently deleted, except as required by law.

 

Intellectual Property Rights

Skillpik owns and retains all rights, title, and interests in the software, service, and any beta service provided, including all intellectual property rights. Skillpik may also collect, use, and disclose performance data related to your use of the service for business purposes, such as software optimisation and product marketing, as long as the data does not reveal your identity or confidential information.

You retain all rights, title, and ownership interest in your data, and Skillpik has no rights or interest in any personally identifiable information contained in your data. For data related to your job applications, you acknowledge that you do not own or have any rights or interests in the data except as authorised by the recruiters. You also acknowledge that Skillpik may follow the recruiter's instructions regarding the data, including removing your access to the data and reassigning your roles and permissions.

Any feedback provided by you to Skillpik regarding the service will not be considered confidential or proprietary and may be used by Skillpik to improve the service. You assign all rights in such feedback to Skillpik.

From time to time, Skillpik may develop custom documents, designs, computer programs, and other tangible materials (“Materials”) for you. Skillpik owns and retains all rights, title, and interests in such Materials and grants you a limited and non-transferable licence to use the Materials for personal use only for the duration of these Terms. Skillpik may reuse any Materials, provided that such use does not reveal your identity or confidential information.

 

Trademark

You waive any right to make a claim against Skillpik for losses incurred as a result of your actions.

In the event that either party is required to notify individuals impacted by the Security Breach or regulatory agencies, the notifying party will provide the other party with an opportunity to review and approve the notification for accuracy prior to it being delivered, with such approval not to be unreasonably withheld.

 

Force Majeure

Skillpik shall not be liable to you for any breach of these Terms of use or any failure to provide or delay in providing services through the website resulting from any event or circumstance beyond Skillpik's reasonable control. Governing Law and Jurisdiction
